Bharti Airtel's Board approved issuing up to 146.76 million equity shares to promoter group entity Indian Continent Investment Limited (ICIL) via a share swap. ICIL will exchange its up to 16.31% stake (595.2 million shares) in Airtel Africa plc for these shares. The issue price is INR 1,923 per share, totaling approximately INR 282.2 billion. Airtel Africa's shares are being acquired at an ~11.6% discount to market price, while Airtel India's shares are issued at a ~9.5% premium. The transaction is cash-less, leverage neutral, and the company says it will be accretive to EPS as additional earnings outweigh dilution. The deal is subject to shareholder approval in an Extraordinary General Meeting.
