Bharti Airtel has called an EGM on June 12, 2026 to seek shareholder approval for a major strategic transaction. The company will issue approximately 14.68 crore equity shares to its promoter entity Indian Continent Investment Limited (ICIL) at ₹1,923 per share, totalling ₹282.22 billion. In return, ICIL will transfer its 16.31% stake (59.52 crore shares) in Airtel Africa to Bharti Airtel. This is a cashless share-swap transaction with no cash outflow or incremental debt. Post-transaction, Bharti Airtel's stake in Airtel Africa will increase from 62.73% to 79.04%, while promoter holding in Bharti Airtel will cross the 50% threshold (from 48.87% to 50.07%). The transaction is expected to be EPS accretive immediately. Voting will take place via remote e-voting from June 8-11, 2026.
This preferential issue will consolidate Bharti Airtel's ownership in its high-growth Airtel Africa subsidiary (contributing ~27% of consolidated revenues) while increasing promoter holding above 50%. The all-stock structure preserves cash and avoids leverage, making it financially disciplined. Minor dilution to public shareholders (from 51.13% to 49.93%) is expected.
