Bharti Airtel's Board has approved issuing up to 146.76 million equity shares to promoter group entity Indian Continent Investment Limited (ICIL), in exchange for ICIL's ~16.31% stake (595.2 million shares) in Airtel Africa plc. The shares will be issued at INR 1,923 per share, valuing the transaction at ~INR 282.2 billion. Airtel Africa is Bharti Airtel's UK-listed subsidiary currently 62.73% owned. The share swap is cash-less, leverage neutral, and EPS accretive for Airtel India, with Airtel India shares issued at ~9.5% premium and Airtel Africa shares acquired at ~11.6% discount to last closing prices. The transaction requires shareholder approval in an Extraordinary General Meeting and regulatory clearances.
The transaction strengthens Bharti Airtel's control over its strategic African subsidiary while remaining EPS accretive, though it will dilute existing shareholders pending EGM approval.
