BHEL has informed the stock exchanges that BSE and NSE have each levied a fine of Rs. 5,42,800 (including GST) on the company for not meeting the requirements of SEBI LODR Regulation 17(1) for the quarter ending December 2025. The non-compliance is because Independent Directors on BHEL's Board were less than 50% of the total Board strength. BHEL is a Government of India undertaking, and the appointment of all Directors, including Independent Directors, is done by the Government. The company plans to apply for a waiver of the fines under the SOP Circular issued by the stock exchanges and is actively following up with the Government to fill the vacant Independent Director positions.
The financial impact is negligible — total fines of about Rs. 10.85 lakh across both exchanges are immaterial for a company of BHEL's size.
