BHEL has disclosed that it received penalty notices from both BSE and NSE dated 27.05.2026, each imposing a fine of Rs. 5,49,880/- (inclusive of GST) for non-compliance with Regulations 17, 18, and 19 of SEBI (LODR) Regulations, 2015 for the quarter ending March 2026. The non-compliance arose because the number of Independent Directors on the Board fell below the required 50% threshold, including the loss of an independent woman director. Additionally, upon the completion of tenure of two more Independent Directors on 27.03.2026, only one ID remained, causing the Audit Committee and Nomination & Remuneration Committee compositions to also become non-compliant from 28.03.2026. BHEL is a Government company where directors are appointed by the Government of India, and the company states it is seeking waiver of the fines and has been pursuing the appointment of the required number of Independent Directors with the government.
The fine of approximately Rs. 5.5 lakh each from BSE and NSE is relatively small but signals weak corporate governance compliance, which could concern investors; the root cause — insufficient Independent Directors due to government appointment delays — may persist and keep the company under regulatory scrutiny.
