BSE and NSE have each imposed a fine of Rs. 5,42,800 (inclusive of GST) on BHEL for non-compliance of SEBI (LODR) Regulation 17(1) for the quarter ending December 2025. The non-compliance relates to the composition of the Board of Directors, as the number of Independent Directors on BHEL's board was less than 50% of the board's actual strength. BHEL has stated that since it is a Government of India undertaking, all directors including Independent Directors are appointed by the Government, and it is already pursuing the Government for filling these positions. The company plans to apply for a waiver of the fines as per the SOP Circular issued by the stock exchanges.
