SCRUTINIZER REPORT OF 44th ANNUAL GENERAL MEETING UNDER REGULATION 44(3) OF THR SEBI

Bhilwara Spinners held its 44th AGM on 24th September 2025. A total of 82 shareholders voted, representing 7,009,550 shares or 77% of the 9,053,630 outstanding shares. Out of 7,609 total shareholders on the record date, 82 participated in voting (15 promoter group and 67 public shareholders). All five resolutions were passed with 100% votes in favour and zero votes against, including: adoption of audited financial statements for FY ended 31 March 2025, re-appointment of Mrs. Sushila Kothari (DIN: 00132802) as director retiring by rotation, appointment of statutory auditor, approval of related party transactions, and appointment of secretarial auditor. E-voting accounted for 4,965,684 votes (70.84%) and ballot voting at the AGM accounted for 2,043,866 votes (29.16%). The meeting lasted from 11:00 AM to 11:45 AM.
