Proceedings of 43rd AGM of the Company

Bihar Sponge Iron Ltd held its 43rd AGM on 25th September 2025 via video conferencing from 3:30 PM to 3:57 PM, attended by 57 members. Six resolutions were transacted, including adoption of audited financial statements for FY ended 31 March 2025, re-appointment of Mr. Abhishek Modi as a rotational director, regularization of Mrs. Kumkum Modi's continuation as Non-Executive Director under SEBI Regulation 17(1A) (passed as a Special Resolution), approval of material related party transactions, appointment of M/s Soniya Gupta and Associates as Secretarial Auditors for a 5-year term, and ratification of cost auditor remuneration for FY25-26. Remote e-voting was held from 22–24 September, with facility also extended during the AGM. Six members registered as speakers, of which three participated. The Chairman was Mr. Aditya Kumar Modi (Whole Time Director), and all key directors, KMPs and auditors were present.
