Bikaji Foods International Limited has completed the acquisition of the remaining 48.78% equity stake in Petunt Food Processors Private Limited (PFPPL) for a cash consideration of ₹8 crore. Bikaji already held 51.22% in PFPPL, and with this additional purchase of 35,98,998 equity shares, it now owns 100%, making PFPPL a wholly-owned subsidiary. PFPPL operates in the FMCG sector, manufacturing sweets and namkeen food products, and is part of Bikaji's South India operations. PFPPL reported a turnover of ₹52.07 crore in FY25, up from ₹42.70 crore in FY24 and ₹36.36 crore in FY23. The transaction was carried out at arm's length, though classified as a related party transaction as Bikaji's promoter Deepak Agarwal is also a director at PFPPL.
This is a strategic consolidation that gives Bikaji full ownership and control over its South India operations. While the deal size of ₹8 crore is relatively small compared to Bikaji's scale, it simplifies the corporate structure, removes minority shareholder complications, and allows Bikaji to fully capture PFPPL's growing revenues, which have grown at a healthy ~20% CAGR over the last three years. Expect minimal immediate stock impact, but positive for long-term operational efficiency.
