On May 15, 2025, Bikaji Foods' board approved multiple items in a single meeting. The company appointed M/s V.M. & Associates and M/s S.K. Joshi & Associates as Joint Secretarial Auditors for a 5-year term from April 1, 2025 to March 31, 2030, subject to shareholder approval. It also approved an additional investment of up to ₹15 crore in its wholly owned subsidiary Bikaji Foods Retail Limited, which is being positioned to enter the café, QSR, restaurant and food catering space. Separately, Bikaji will invest up to ₹20 crore in Jai Barbareek Dev Snacks Private Limited through 2 crore Optionally Convertible Debentures at face value, a firm that does contract manufacturing for Bikaji. The board also approved selling its entire 51% stake in non-material subsidiary Bikaji Mega Food Park Private Limited to promoter group member Mrs. Shweta Agarwal for a nominal ₹51,000, at arm's length. Finally, the company is changing its Registrar & Share Transfer Agent from MUFG Intime India to Beetal Financial and Computer Services, with the effective date to be communicated later.
The investments signal Bikaji's push into new growth avenues (dining/QSR via BFRL and snack manufacturing capacity via JBDSPL), while the Mega Food Park divestment cleans up a non-contributing subsidiary. The combined ₹35 crore of new investments is modest relative to Bikaji's size but reflects diversification intent. None of the items are likely to move the stock sharply on their own, though retail shareholders should note the related-party sale of the food park subsidiary to a promoter family member, even though carried out at arm's length.
