Bikaji Foods International's Board approved multiple actions at its May 21, 2026 meeting. The company will invest up to $50 lakh (via equity subscription) in its US subsidiary Bikaji Foods International USA Corp to set up a manufacturing plant in the USA; the subsidiary reported turnover of ~$26.2 lakh in FY26. Separately, Bikaji acquired a 74% stake in Jai Barbareek Dev Snacks Private Limited (JBDSPL), a contract manufacturer in Chhattisgarh with FY25 turnover of ₹19.81 crore, for ₹1.48 lakh — making JBDSPL a subsidiary. The company also committed ₹5 crore via optionally convertible debentures to its WOS Bikaji Bakes Private Limited (a new bakery venture, operations not yet commenced), a ₹5 crore loan to contract manufacturer Dadiji Snacks Private Limited (existing outstanding ₹18.65 crore), and corporate guarantees of ₹59 crore for JBDSPL and ₹5 crore for associate Bhujialalji Private Limited. Six directors including CMD Deepak Agarwal and WTD Shweta Agarwal were recommended for re-appointment.
The acquisitions and capital deployment in subsidiaries signal Bikaji's strategy to expand geographically and diversify into bakery, with the JBDSPL acquisition being the most material as it adds a regional manufacturing presence. The corporate guarantees for subsidiaries and associates add contingent liabilities but are standard group financing structures.
