Biofil Chemicals & Pharmaceuticals Ltd has submitted its Annual Secretarial Compliance Report for FY 2025-26, audited by Joshi Sahay & Company, Practicing Company Secretaries. The report identifies two non-compliances: (1) a 34-day delay in appointing a Company Secretary & Compliance Officer between December 2024 and April 2025, resulting in a fine of Rs. 34,000 each from BSE and NSE; and (2) a 72-day shortfall in board strength below the required minimum of six directors for top 2000 listed entities, due to the sudden demise of Shri Ramesh Shah in March 2025, resulting in a fine of Rs. 3,60,000 each from BSE and NSE. The company subsequently appointed CS Apoorv Jain as Company Secretary and Compliance Officer from April 19, 2025, and an Additional Director from August 23, 2025. The company has paid all fines and filed an appeal with SAT regarding the board composition fine. All other compliance requirements were met.
The company has paid fines totaling approximately Rs. 7,88,000 (excluding GST) for compliance lapses and has since rectified the issues. The SAT appeal outcome regarding the board composition fine could affect future financial liabilities. Overall, the compliance position is largely satisfactory with remediation completed.
