Black Box Limited's board approved its unaudited Q1 FY26 results (quarter ended June 30, 2025). On a standalone basis, revenue from operations fell to Rs. 75.99 crore from Rs. 84.18 crore a year ago, but the company swung to a net profit of Rs. 1.16 crore versus a loss of Rs. 2.58 crore in Q1 FY25. On a consolidated basis, revenue declined marginally to Rs. 1,386.74 crore from Rs. 1,423.38 crore, while net profit rose about 28% to Rs. 47.43 crore from Rs. 37.09 crore, after factoring in exceptional items of Rs. 12.60 crore (severance and lease foreclosure costs at subsidiary BBX Inc.). The board also recommended a final dividend of Rs. 1 per share for FY25, fixed August 29, 2025 as the record date, and scheduled the 39th AGM for September 16, 2025. The auditor (M S K A & Associates) gave an unmodified review opinion but flagged FEMA-related delays in import payments, export proceeds and other remittances as an emphasis of matter, pending condonation from the AD Bank/RBI.
Mixed picture for shareholders – consolidated profits grew despite mild revenue softness, supported by one-off items, and a Rs. 1 dividend is on the table. The auditor's emphasis on FEMA non-compliances is a watch-item but the auditor's opinion remains unmodified, so near-term impact on the stock should be limited.
