BLB Limited has issued the notice for its 44th Annual General Meeting (AGM) to be held on Monday, August 18, 2025 at 11:30 a.m. via Video Conferencing (VC)/OAVM. The cut-off date for e-voting eligibility is August 11, 2025, with remote e-voting open from August 15-17, 2025. Ordinary business includes adoption of FY25 audited financial statements and re-appointment of Anshul Mehra (DIN: 00014049) as Director. Special business includes appointment of Deepak Shivastava (DIN: 07231480) as Non-Executive Director and Dinesh Rajvanshi (DIN: 11195148) as Independent Director for a 5-year term ending August 17, 2030. Members will also vote on appointing M/s. Meenu S. & Associates as Secretarial Auditor for 5 years (FY26-FY30) at Rs. 1.5 lakh per year plus taxes. Key resolutions include amending the Articles of Association to make Managing/Whole-time Directors liable to retire by rotation, and increasing the remuneration limit for Chairman and Managing Director Bij Rattan Bagi (DIN: 00007441) up to Rs. 2 crore per annum effective September 1, 2025. Aggregate annual remuneration for promoter Executive Directors is also being approved up to Rs. 5 crore or 2.5% of net profits, whichever is higher.
Shareholders should note the proposed increase in Chairman and Managing Director's remuneration to up to Rs. 2 crore per annum and the change making executive directors liable to retire by rotation, which brings BLB closer to standard corporate governance practice. The appointment of a new Independent Director and the shift to rotation-based retirement for executive directors are generally viewed as governance-positive moves, while the higher promoter remuneration is something minority shareholders should evaluate when voting.
