On April 6, 2026, Blue Cloud Softech Solutions' board approved acquiring 100% of US-based Global Impx Inc (GIX), a renewable energy and digital infrastructure company, via a share swap. The deal involves issuing 17 crore new equity shares at Rs. 21.93 each (a premium of Rs. 20.93), worth Rs. 372.81 crores, to GIX's shareholders — ConnectM Technology Solutions Inc (16 crore shares, 17.33% post-issue) and AstraBridge Inc (1 crore shares, 1.08% post-issue). The swap ratio is 100 BCSSL shares for every 125 GIX shares, based on a registered valuer's report. GIX brings access to 196.7 acres in Chhatrapur, Odisha, earmarked for a phased 5 MW → 100 MW hyperscale data centre, and had a consolidated turnover of about Rs. 25.50 crores in CY2025. The board also raised authorised share capital from Rs. 80 crore to Rs. 96 crore, appointed Vinod Babu Bollikonda as the new Managing Director (he was already Group CEO), moved former MD Vankineni Krishna Babu to Non-Executive Director to lead the new healthcare vertical, accepted the resignation of Company Secretary Shraya Jaiswal, and appointed Shambhu Prasad Mukkamala as the new CS. An EGM is set for May 4, 2026, to seek shareholder approval.
This is a strategic pivot for Blue Cloud from a pure-play IT services company into renewable energy, AI, and data infrastructure, with potential to materially change its growth trajectory and valuation. However, the Rs. 372.81 crore share-swap acquisition will dilute existing shareholders by roughly 18.4%, and the deal is subject to shareholder approval at the May 4 EGM, making this an important milestone to watch.
