Board approves consumer electronics foray, director regularization and EGM on July 17

Interworld Digital's board, at its June 19, 2026 meeting, approved shifting into consumer electronics, mobile phones, accessories and computer hardware, requiring MOA changes. It also cleared regularization of Mr. Faizal Bavaraparambil Abdul Khader as Non-Executive Non-Independent Director, raised the borrowing cap to Rs 200 crore, allowed investments and loans up to Rs 50 crore, and approved related party transactions up to Rs 26.80 crore for FY27. An EGM is set for July 17, 2026 for shareholder approval.
Shareholders will vote on a major business pivot into electronics, higher borrowing limits of Rs 200 crore and Rs 26.80 crore of related party deals, raising governance and dilution-of-focus concerns.
