Bodhi Tree Multimedia Limited (BTML) has completed the acquisition of a 20% equity stake in Lehren Networks Private Limited (LNPL), a Mumbai-based digital entertainment and content company operating since 1987 with a FY25 turnover of Rs. 309.06 lakhs. The transaction was executed entirely through a share swap — BTML issued and allotted 12,00,000 new equity shares (face value Re. 1) at Rs. 10 each, totalling Rs. 1.2 crore, to Mr. Mritunjay Surendernath Pandey (a non-promoter shareholder of LNPL), in exchange for 2,00,000 equity shares of LNPL. The allotment was approved at the board meeting held on March 21, 2026, and follows the Share Purchase and Share Subscription Agreement (SPSSA) originally signed on November 27, 2025. The acquisition is not a related-party transaction and required no government or regulatory approvals.
The deal gives BTML a strategic foothold in India's digital media and entertainment space and is paid for entirely in shares, so there is no cash outflow. However, it results in dilution for existing shareholders and the target's turnover is relatively small, making this a small, strategic addition rather than a transformational acquisition. Investors should watch for future revenue contribution from LNPL and any further stake increases.
