Bodhi Tree Multimedia Limited (BTML) has completed the acquisition of a 20% equity stake in Lehren Networks Private Limited (LNPL), a heritage Indian entertainment media company founded in 1987. The deal was executed through a share swap, with BTML allotting 12,00,000 equity shares of Re. 1 each at Rs. 10 per share (aggregating Rs. 1.20 crore) to Mr. Mritunjay Surendernath Panday, a non-promoter public shareholder of LNPL. In return, BTML received 2,00,000 equity shares of LNPL (at Rs. 10 each). LNPL's standalone turnover was Rs. 309.06 lakhs in FY25, Rs. 302.07 lakhs in FY24, and Rs. 291.05 lakhs in FY23. The transaction is not a related-party deal and required no regulatory approvals. The acquisition aims to expand BTML's presence in the Media & Entertainment industry.
This is a small-ticket strategic acquisition (Rs. 1.2 crore via share swap) that gives BTML a foothold in digital entertainment content, but it is unlikely to materially move the stock given the modest size. Existing shareholders face a minor dilution of about 12 lakh new shares issued at Rs. 10.
