Bonlon Industries has notified its 28th AGM to be held on Monday, 29th September 2025 at 2:00 PM via video conferencing. The register of members and share transfer books will remain closed from 23rd September to 29th September 2025. The cut-off date for e-voting eligibility is 22nd September 2025, with remote e-voting open from 26th September (9:00 AM) to 28th September (5:00 PM) via NSDL. Key business to be transacted includes: (a) adoption of audited standalone and consolidated financial statements for FY ended 31st March 2025; (b) re-appointment of Mr. Rajat Jain as Director, who retires by rotation; (c) appointment of M/s Dabas S & Co. as Secretarial Auditor for 5 years at Rs. 72,000 plus GST per annum; and (d) ratification of cost auditor remuneration of Rs. 60,000 plus GST for M/s Goyal, Goyal & Associates. Shareholders will also vote on special resolutions seeking approval for loans/guarantees up to Rs. 200 crores under Section 185, further loans/investments up to Rs. 200 crores under Section 186, and material related party transactions with six related parties with combined exposure limits of up to Rs. 1,500 crores (largest being Asier Metals at Rs. 700 crores).
The AGM is largely procedural, but shareholders should review the sizeable related party transaction limits (totaling up to Rs. 1,500 crores) and the Section 185/186 borrowing and investment powers being sought. Approval of these special resolutions would give the board broad financial flexibility to transact with related parties until the next AGM.
