Bonlon Industries has sent postal ballot notices to shareholders seeking approval through remote e-voting (no physical ballots). Two resolutions are being put to vote: (1) an increase in the company's authorized share capital with a corresponding amendment to the capital clause (Clause V) of the Memorandum of Association, and (2) a preferential allotment of up to 2,00,60,000 (Two Crore Sixty Thousand) fully convertible warrants to persons from the Promoter/Promoter Group and Non-Promoter Public Category. The e-voting window runs from April 9, 2025 to May 8, 2025, with the cut-off date set at April 4, 2025. NSDL is the e-voting agency and Mr. Sanjeev Dabas (COP: 24418) has been appointed as the scrutinizer. Results will be declared on or before May 9, 2025. The company has also published the required newspaper advertisement in Financial Express (English) and Jansatta (Hindi) on April 9, 2025.
Shareholders should note that approving the preferential allotment of 2 crore+ convertible warrants could lead to significant share dilution upon conversion. The proposed increase in authorized capital is a precursor to enable this and any future fundraising, so voting outcome will shape the company's near-term capital structure.
