Bonlon Industries' board, meeting on April 7, 2025, approved increasing the authorized share capital from Rs. 15 crore to Rs. 35 crore (1.5 crore to 3.5 crore equity shares of Rs. 10 each), subject to shareholder approval. The board also approved issuing up to 2,00,60,000 fully convertible warrants at Rs. 33 each on a preferential basis, aiming to raise up to Rs. 66.20 crore from promoter/promoter group (97 lakh warrants) and non-promoter public category (1.03 crore warrants). Allottees must pay 25% upfront, and warrants must be converted within 18 months or the amount paid will be forfeited. Shareholders' approval will be sought via postal ballot, with April 4, 2025 set as the e-voting cut-off date.
This is a significant equity dilution event — upon full conversion of warrants, the share count could rise from about 1.42 crore to 3.42 crore, diluting public shareholders from 33.26% to 44.03% of expanded share base while promoter stake drops from 66.74% to 55.97%. Existing shareholders may see short-term price pressure due to dilution, but the Rs. 66 crore raise could strengthen the company's financial position if deployed for growth.
