Borosil Renewables received fines of Rs. 1,00,300 each (including GST) from BSE and NSE on September 15, 2025, for delayed submission of consolidated unaudited financial results for the quarter ended June 30, 2025 under Regulation 33 of SEBI LODR. The delay (17 days) was caused by insolvency proceedings initiated by its German stepdown subsidiary GMB Glasmanufaktur Brandenburg GmbH on July 4, 2025, which is now managed by a court-appointed administrator in Germany. The consolidated results were eventually submitted on September 3, 2025. At its September 29, 2025 meeting, the Board attributed the delay to circumstances beyond its control and decided to file waiver applications with both exchanges to seek refund of the fines already paid.
The penalty amount is small (about Rs. 2 lakh combined) and likely to be waived given the genuine cause. However, the underlying issue of the German subsidiary's insolvency remains the real concern for shareholders. Investors should also note that any further delay in financial reporting could trigger freezing of promoter shareholdings and a shift of the stock to the Z category with trade-for-trade settlement.
