Pursuant to Regulation 30 read with Clause 7 of Para A of Part A of Schedule III of the SEBI Listing Regulations, 2015 and our letter dated 8th May, 2025, this is to inform you that the Members of the Company at their 106th Annual General Meeting held on Monday, 11th August, 2025, have inter-alia approved the: i. Re-Appointment of M/s. Walker Chandiok & Co LLP, Chartered Accountants as the Statutory Auditors of the Company for a second term of 5 (Five) consecutive Years. ii. Appointment of M/s. Parikh & Associates, a Peer Reviewed firm of Practicing Company Secretaries as the Secretarial Auditors of the Company, for a term 5 (Five) consecutive Years.

At the 106th Annual General Meeting held on August 11, 2025, shareholders of Britannia Industries approved two audit-related appointments. First, M/s. Walker Chandiok & Co LLP was re-appointed as the Statutory Auditors for a second consecutive term of 5 years, i.e., from the conclusion of the 106th AGM to the conclusion of the 111th AGM in 2030. Second, M/s. Parikh & Associates, a peer-reviewed firm of Practicing Company Secretaries, was appointed as the Secretarial Auditors for 5 consecutive years covering FY 2025-26 to FY 2029-30. Walker Chandiok is a well-established Indian audit firm founded in 1935, while Parikh & Associates was founded in 1987 and specialises in corporate law and SEBI regulation compliance.
