Pursuant to Regulation 30 read with Clause 7 of Para A of Part A of Schedule III of the SEBI Listing Regulations, 2015 and our letter dated 12th February, 2026, this is to inform you that the Members of the Company have approved, by way of Postal Ballot (conducted through remote E-voting process), the Ordinary Resolution as set out in the Notice of Postal Ballot dated 10th February, 2026, for appointment of Mr. Rakshit Hargave (DIN: 03406793) as the Chief Executive Officer and Managing Director of the Company, not liable to retire by rotation, for a term of 5 (five) years with effect from 15th December, 2025 to 14th December, 2030 (both days inclusive).

Britannia Industries has received shareholder approval (via postal ballot, results declared on March 15, 2026) for the appointment of Mr. Rakshit Hargave as Chief Executive Officer and Managing Director. His term is for 5 years, from December 15, 2025 to December 14, 2030, and he will not be liable to retire by rotation. The Board had originally approved his appointment on November 10, 2025, subject to member approval. Mr. Hargave is an external hire with a strong FMCG background, having previously been CEO of Birla Opus (Aditya Birla Group's paint venture), headed Beiersdorf (NIVEA) operations across India, Africa, ASEAN and ANZ, and served as COO of Lakme Lever at Hindustan Unilever. He also helped launch Domino's 30-minute delivery guarantee at Jubilant FoodWorks and worked at Nestle India on the Maggi brand. He is not related to any existing directors and is not debarred by SEBI.
