Brookfield India REIT has completed a capital raise of up to INR 1,125 crore from 360 ONE Real Assets Advantage Fund. The funds were raised through allotment of 1,10,584 equity shares and 3,845 non-convertible debentures in Arliga Ecoworld Business Parks Private Limited (Ecoworld SPV), a special purpose vehicle of the REIT. Following this issuance, Brookfield India REIT retains approximately 87% ownership while the new investor holds approximately 13% of the SPV's equity share capital. This is in compliance with SEBI (REIT) Regulations 2014.
The deal reduces Brookfield India REIT's stake in the Ecoworld SPV from full ownership to ~87%, diluting its equity but bringing in INR 1,125 crore of fresh capital. Minority investor entry at a meaningful ~13% stake may signal confidence in the underlying real estate assets and could support NAV valuations.
