Brookfield India REIT has called an Extraordinary Meeting (EGM) of Unitholders on November 28, 2025 (via video conferencing) to seek approvals for two key items. Item 1: Acquisition of up to 100% of Arliga Ecoworld Business Parks Private Limited, which owns a 7.7 million sq ft Grade A office asset called Ecoworld in Devarabeesanahalli, Bengaluru, for an acquisition price of ₹13,125 crore (₹131,250 million). This price is set at a 6.54% discount to the average independent valuation of ₹14,044 crore, with an additional FSI-linked earnout of up to ₹200 crore. Item 2: Approval to raise up to ₹3,500 crore (₹35,000 million) through institutional placement(s) of units in one or more tranches, primarily to fund the Ecoworld acquisition and prepay existing debt. The acquisition is a related party transaction as the seller (BSREP III New York FDI I) belongs to the same Brookfield group as the REIT's sponsor, and therefore the sponsor and its associates will not vote on Item 1.
If approved by unitholders, the Ecoworld acquisition will meaningfully expand Brookfield India REIT's portfolio by ~7.7 million sq ft and add Bengaluru (southern India) as a new micro-market, potentially boosting future rental income. The institutional placement of up to ₹3,500 crore could lead to dilution of existing unitholders, though it will also strengthen the balance sheet by reducing debt. Unitholders should watch the EGM outcome on November 28 and consider the trade-off between portfolio growth and unit dilution.
