Burnpur Cement has informed exchanges that its 39th AGM will be held on Friday, September 5, 2025 at 12:30 PM through video conferencing. The cut-off date for e-voting eligibility is August 29, 2025, with remote e-voting open from September 2 to September 4, 2025. Shareholders will vote on adopting FY25 audited accounts and on appointing M/s. Bhagi Bhardwaj Gaur & Co. as Statutory Auditor for five years (from 39th to 44th AGM) at Rs. 2.5 lakh per annum, replacing M/s. Agarwal HP & Associates who resigned due to health issues. They will also vote on appointing M/s. M & A Associates as Secretarial Auditor for five years and ratifying the Cost Auditor's remuneration of Rs. 20,000 for FY26. The company's FY25 financial highlights show sales dropped to zero from Rs. 134.37 crore the previous year, with a net loss of Rs. 42.46 crore (narrowing from Rs. 99.11 crore loss in FY24). The company remains classified as an NPA since December 2016, with its debt assigned to UV Asset Reconstruction Company.
No dividend for FY25 due to continued losses, but shareholders get the chance to vote on a new auditor and ask questions at the AGM. The persistent NPA status and collapsed sales indicate the company is still in deep financial distress, though the loss has narrowed significantly.
