Camlin Fine Sciences is seeking shareholder approval through a postal ballot (e-voting from September 30 to October 29, 2025) to issue up to 41,06,181 equity shares at ₹247.69 per share, totaling about ₹101.71 crore. These shares will be issued to five investors of Vinpai (a French functional ingredients company listed on Euronext Growth Paris) as non-cash consideration to acquire roughly 78.68% of Vinpai's share capital under a share purchase agreement signed on February 24, 2025. Along with the share swap, Camlin will also provide €3.3 million to Vinpai via convertible bonds. The allottees are Cyrille Damany, Philippe Le Ray, Alexandre Moranville, Chris Project, and Saffelberg Investments, with no promoter or director participation. Post-issue, promoter holding will dilute slightly from 49.08% to 48.03%, while public holding rises to 51.97%.
If approved, Camlin Fine Sciences will gain a majority stake in Vinpai, expanding its footprint into natural algae, plant, mineral, and fibre-based functional ingredients for food, cosmetics, and nutraceuticals markets across 36+ countries. Existing shareholders will see a small dilution (~2.2% on a fully diluted basis), but the swap is non-cash so no cash outflow is involved at the time of share issuance.
