Candour Techtex Limited has filed the notice of its 39th AGM to be held on 30 September 2025 at 3:00 p.m. via video conferencing, along with the Annual Report for FY 2024-25. Revenue from operations rose modestly to ₹18,810.18 lakhs (from ₹18,473.41 lakhs in FY23-24), and the company swung back to a profit before tax of ₹132.14 lakhs compared to a loss of ₹148.21 lakhs in the previous year. Profit after tax, however, declined to ₹67.28 lakhs from ₹105.69 lakhs due to higher depreciation and other expenses. EPS stood at ₹0.04 versus ₹(0.62). During the year, the company raised funds through a preferential issue, allotting 12 lakh convertible warrants and 10.19 lakh equity shares at ₹83.70 each to non-promoters, and approved a stock split from ₹10 face value to ₹1 face value. No dividend has been recommended.
Shareholders will vote on board appointments, MD remuneration, and the stock split at the AGM. Return to profitability is positive, but the lower net profit, no dividend, and stock split will dilute EPS further in the short term while improving liquidity of the shares.
