Capillary Technologies India Ltd conducted a postal ballot via remote e-voting from December 6, 2025 to January 4, 2026 to seek shareholder approval for ratification of the Capillary Employees Stock Options Scheme-2021 (ESOP 2021). The special resolution was passed with 89.11% of votes polled in favor (48,679,976 shares) against 10.89% (5,949,060 shares), on a turnout of 68.88% of outstanding shares (54,629,036 shares out of 79,311,773). Promoter group voted unanimously in favor (41,195,648 shares, 100%), while institutional public shareholders were nearly evenly split at 50.26% for and 49.74% against; non-institutional public shareholders voted 99.93% in favor. BMP & Co. LLP served as the scrutinizer.
The ESOP 2021 Scheme is now formally ratified and remains operational for granting employee stock options, with no fresh dilution triggered by this vote. The closely divided institutional vote (close to 50-50) flags some shareholder reservations about the scheme and may be worth tracking.
