The Board of Directors of Gawar Investment Manager Pvt. Ltd., acting as Investment Manager to Capital Infra Trust (InvIT), has approved a revised preferential issue of Rs. 345.00 crore (Rs. 345,00,64,750) through the issuance of 4,32,61,000 units at Rs. 79.75 per unit to Gawar Construction Limited (the Sponsor). Post this allotment, the Sponsor's unitholding in the Trust will stand at 49.98%. The entire proceeds from this preferential issue will be used solely for part prepayment of the Trust's existing Non-Convertible Debentures (NCDs). The revision was made under the authority granted by unitholders on October 31, 2025, which allowed varying the size and terms of the preferential issue. All other previously approved terms remain unchanged.
This is a positive development for existing unitholders as the funds raised will be used to prepay part of the Trust's NCD debt, which should help reduce interest costs and improve the Trust's debt profile. However, existing unitholders will face dilution as the Sponsor's stake rises to nearly 50%, which means the Sponsor will have significant control over Trust decisions going forward.
