Capital Infra Trust (InvIT) has received unitholder approval for all three resolutions in its Postal Ballot Notice dated October 08, 2025. Resolution 1 approves the acquisition of 100% equity in three highway companies — Hasanpur Bakhtiyarpur Highway, JRR Highways, and Korba Highway — possibly in tranches. Resolution 2 approves the issuance of units on a preferential basis for an aggregate consideration of up to Rs 400 crore. Resolution 3 enables capital raising via institutional placement, rights issue, debt, or a combination. All resolutions passed with very high approval: roughly 99.99% for Resolution 1, 99.95% for Resolution 2, and 99.98% for Resolution 3 of votes cast. Voting was conducted remotely between October 9 and October 31, 2025, with the scrutinizer (Makarand M. Joshi & Co.) confirming the results on November 1, 2025.
Unitholders have greenlit a major expansion plan via three highway SPV acquisitions and a sizeable capital raise, signalling strong growth intent. Existing investors may face unit dilution from the preferential and institutional issuances, but the near-unanimous approval reflects confidence in the Trust's expansion strategy.
