Capital Infra Trust has issued a Postal Ballot Notice seeking unitholder approval on three resolutions via remote e-voting from October 9 to October 31, 2025. Resolution 1 is to acquire 100% equity in three highway SPVs — Hasanpur Bakhtiyarpur Highway (HBHPL), JRR Highways (JHPL) and Korba Highway (KHPL) — from sponsor Gawar Construction for an aggregate equity value of Rs. 429.29 crores, which is about a 34.70% discount to the independent valuer's adjusted enterprise value. Resolution 2 seeks approval to issue 5.01 crore units on a preferential basis to Gawar Construction at Rs. 79.75 per unit, raising Rs. 400 crores. Resolution 3 seeks authority to raise up to Rs. 2,400 crores through institutional placement, rights issue, or debt. The acquisitions would add roughly 164 km of revenue-generating NHAI HAM road assets and grow the Trust's AUM by around Rs. 2,500 crores.
If approved, the Trust will meaningfully scale its road-asset portfolio and steady annuity cash flows, supporting long-term distributions. However, the acquisition from the sponsor is a related-party transaction, and the preferential unit allotment to the sponsor may dilute existing unitholders — investors should review the valuation report and vote before the October 31 deadline (results due by November 4, 2025).
