Capital Infra Trust's Investment Manager board approved several major actions on October 8, 2025. The Trust plans to acquire 100% equity in three road SPVs from its sponsor Gawar Construction — Hasanpur Bakhtiyarpur Highway (enterprise value Rs 1,407.8 cr), JRR Highways (Rs 704.6 cr), and Korba Highway (Rs 477.1 cr) — for a combined enterprise value of Rs 2,589.5 crores. To partly fund this, the Trust will issue 5.01 crore units on a preferential basis to the sponsor at Rs 79.75 per unit, raising Rs 400 crores. Separately, the board approved a plan to raise up to Rs 2,400 crores through institutional placement, rights issue, or debt, and also approved partial prepayment of outstanding NCDs. A leadership change was announced: CEO Manish Kumar Satnaliwala will step down on November 30, 2025, and be replaced by Hare Krishna (ex-Ivanhoe Cambridge, Hines, Yes Bank, JP Morgan), who joins as Joint CEO immediately and takes over as CEO from December 1, 2025. All major decisions are subject to unitholder approval via postal ballot.
For existing unitholders, this signals significant portfolio expansion into three highway assets alongside a large capital raise that may dilute holdings. The preferential issue to the sponsor at Rs 79.75 per unit sets a near-term price reference, while the Rs 2,400 cr fundraising plan could pressure unit price if executed via a rights issue or institutional placement.
