The Board of Gawar Investment Manager (acting as Investment Manager to Capital Infra Trust) approved raising multiple claims from Gawar Construction Limited (GCL), the Sponsor. The first is an indemnity claim of about Rs. 45.48 crore for GST on annuity shortfall across four project SPVs, due by March 27, 2026, with an additional Rs. 24.24 crore indemnity to be received by August 2027 for three other SPVs. The second set covers Gawar Nainital Highways Private Limited: Rs. 13.85 crore as compensation under the Project Management Agreement and Rs. 11.98 crore as indemnity under the Share Purchase Agreement, both due by March 27, 2026, following descoping of certain works by NHAI. In total, claims of roughly Rs. 95.55 crore are being raised against the Sponsor, backed by the respective SPAs and PMAs.
This is a positive for unitholders as the trust is recovering shortfalls and compensation from its Sponsor under existing legal agreements, which should support near-term cash flows and distributions. The structured payment timelines (mostly due within 1-2 days) and contractual backing of the claims reduce execution risk for the InvIT.
