Capital Infra Trust has issued a corrigendum to its postal ballot notice dated October 8, 2025, seeking unitholder approval for a preferential issue of up to 5,01,56,740 units at Rs. 79.75 per unit to its Sponsor, Gawar Construction Limited, for an aggregate consideration of about Rs. 400 crore. The corrigendum updates the post-issue unitholding pattern, raising the Sponsor's stake from 42.12% to up to 51.04%, making it the majority unitholder. All other unitholder categories — including Body Corporates, Insurance, Mutual Funds, FPIs, and Individuals — will see their holdings diluted proportionately. Unitholders who have already cast their votes can modify them by emailing the scrutinizer before 5:00 PM IST on October 31, 2025.
Existing unitholders will face significant dilution as the Sponsor crosses the 51% majority threshold, gaining controlling interest in the InvIT. Investors should review the revised terms and exercise their voting rights before the October 31 deadline.
