Capital Infra Trust (InvIT), formerly known as National Infrastructure Trust, has filed a clarification with NSE and BSE regarding the unit holding pattern disclosed in its Postal Ballot Notice dated October 8, 2025 and the Corrigendum dated October 27, 2025. The filing provides both the unit counts and percentage shareholding across all unitholder categories for pre-issue (as on September 30, 2025) and post-issue positions. Total units will increase from 27.54 crore to 31.87 crore, meaning roughly 4.33 crore new units are being issued. The Sponsor's stake is set to rise materially from 42.12% (11.60 crore units) to 49.98% (15.93 crore units), while every other category — Body Corporates, Insurance, Mutual Funds, Individuals, AIFs, FPIs, Pension Funds, FIs/Banks, NRIs and Trusts — sees its percentage holding diluted proportionally.
For existing unitholders, this means a clear dilution of their proportional stake as the Sponsor pumps in additional units to move close to the 50% threshold typically expected of an InvIT sponsor. Existing unit holders will own a smaller slice of the trust post-issue, though absolute unit count for non-sponsor categories stays the same; the market may read the Sponsor topping up its holding as a sign of commitment.
