Capital Infra Trust, an Infrastructure Investment Trust (InvIT) listed on BSE and NSE, has fixed November 19, 2025 as the record date for a mandatory part-prepayment of its Non-Convertible Debentures (NCDs) scheduled for December 4, 2025. The prepayment, totalling about Rs 420 crore (Rs 213.29 crore for Tranche 1 and Rs 206.71 crore for Tranche 2), was triggered because the trust's Consolidated Net Debt ratio rose to 54.97% as of June 30, 2025, breaching a covenant under its Debenture Trust Deed (Clause 8(d)(i)). The funds for this prepayment will come from a sponsor preferential allotment approved by unitholders on October 31, 2025, along with internal accruals. Post-redemption, outstanding NCD amounts will reduce to about Rs 974.71 crore (Tranche 1) and Rs 944.69 crore (Tranche 2).
This is a mixed signal — while the trust is proactively deleveraging using sponsor capital, the prepayment was triggered by a debt covenant breach (net debt exceeding the threshold), which may raise near-term concerns about financial flexibility. Existing NCD holders will receive the prepayment on December 4, 2025, and the sponsor infusion suggests confidence in the underlying business.
