Caprihans India redeemed 78 lakh 0.1% Non-Cumulative Redeemable Preference Shares worth ₹7.80 crores, reducing its preference share capital. Separately, the company allotted 5.20 lakh equity shares to promoter Bilcare Limited upon conversion of an equal number of warrants issued at ₹200 each (₹10 face value + ₹190 premium). Bilcare paid the balance 75% (₹7.80 crores) to complete the conversion. Post-allotment, equity share capital increased from ₹16.43 crores to ₹16.95 crores. Bilcare's holding rose from 60.84% to 62.04%, strengthening promoter control.
Promoter holding increase dilutes minor shareholders slightly. Preference share redemption reduces the company's future dividend obligations and financial burden from the 0.1% coupon.
