Caprihans India Limited has allotted 3,30,000 equity shares to its promoter Bilcare Limited upon conversion of an equal number of warrants. The warrants were originally issued on a preferential basis at Rs. 200 each, with Bilcare paying the remaining 75% (Rs. 4.95 crore) to trigger this conversion. Each share has a face value of Rs. 10 with a premium of Rs. 190, taking the total allotment value to Rs. 6.60 crore. As a result, Bilcare's stake in the company has risen from 58.70% (91.48 lakh shares) to 59.56% (94.78 lakh shares), and the company's paid-up equity capital has increased from Rs. 15.58 crore to Rs. 15.91 crore. This is part of an ongoing series of warrant conversions by the promoter, originally approved by shareholders in November 2024.
This is a promoter-driven event, not a fresh fundraising, so there is no new dilution for public shareholders. Bilcare's increased stake signals continued promoter confidence and commitment to the company, which is generally viewed positively by retail investors.
