Caprihans India has allotted 3,00,000 equity shares to its promoter Bilcare Limited upon conversion of an equal number of warrants. The warrants were originally issued on a preferential basis at Rs. 200 per warrant, with Bilcare now paying the balance 75% amount of Rs. 4.5 crore. Each equity share has a face value of Rs. 10 with a premium of Rs. 190, taking the total allotment value to Rs. 6 crore. This is the fourth tranche of conversion, following earlier allotments in January 2025 totalling 14,90,000 shares. As a result, the company's paid-up equity capital has risen from Rs. 14.62 crore to Rs. 14.92 crore, and Bilcare's stake has increased from 55.99% to 56.88%.
The conversion strengthens the promoter's holding in the company and increases the equity base, which is mildly dilutive for non-promoter shareholders. Since the funds are being brought in by the promoter, it signals promoter confidence but does not bring in new external capital.
