Caprihans India has allotted 3,30,000 equity shares to its promoter Bilcare Limited following the conversion of an equal number of warrants issued earlier on a preferential basis. Each share has a face value of Rs. 10 and was issued at a premium of Rs. 190, making the total issue size Rs. 6.60 crore. Bilcare paid the balance 75% of the warrant price (Rs. 4.95 crore) to trigger this conversion. As a result, Bilcare's stake in Caprihans has increased from 57.81% to 58.70%, and the company's paid-up equity capital has risen from Rs. 15.25 crore to Rs. 15.58 crore.
This is a promoter-led warrant conversion, so there is no dilution for existing public shareholders from a new external investor. The promoter's increased holding signals continued confidence in the company, though it further consolidates Bilcare's majority control.
