Caprihans India has allotted 3,00,000 equity shares to its promoter Bilcare Limited following the conversion of an equal number of convertible warrants. The warrants were originally issued at Rs. 200 per share (face value Rs. 10, premium Rs. 190) on a preferential basis, with shareholder approval received on November 8, 2024. Bilcare paid the balance 75% of the warrant price (Rs. 4.5 crore), bringing the total consideration for this tranche to Rs. 6 crore. As a result, the company's paid-up equity capital has risen from Rs. 14.62 crore to Rs. 14.92 crore, and Bilcare's stake has increased from 55.99% to 56.88%. This is the fourth tranche of warrant conversions, following earlier allotments of 5,00,000, 5,90,000, and 4,00,000 shares in January 2025.
This is a promoter-driven capital infusion with no new external investor participation, so there is no immediate dilution concern for retail shareholders. The increase in promoter's holding signals continued confidence from Bilcare in the company, which is mildly positive for sentiment.
