Caprihans India Limited has allotted 3,30,000 equity shares to its promoter Bilcare Limited upon conversion of an equal number of warrants. Each share was issued at Rs. 200 (Rs. 10 face value plus Rs. 190 premium), bringing total consideration to Rs. 6.60 crore. Bilcare paid the remaining 75% of the warrant price (Rs. 4.95 crore) to trigger the conversion. This is part of a series of conversions from the 48,00,000 warrants originally issued to the promoter on a preferential basis at Rs. 200 per warrant in November 2024. Following this allotment, Bilcare's stake in Caprihans rose from 57.81% to 58.70%, and the company's paid-up equity share capital increased from Rs. 15.25 crore to Rs. 15.58 crore.
This shows continued promoter confidence through equity infusion, but results in a small dilution for minority shareholders. The gradual warrant conversion also strengthens the promoter's controlling stake, which existing investors should monitor closely.
