Caprihans India has informed the exchange that 3,15,000 warrants held by promoter Bilcare Limited have lapsed after the company failed to receive the balance 75% payment within the 18-month exercise window ending 4 June 2026. These warrants were part of a larger preferential allotment of 48,00,000 warrants made on 3-5 December 2024 at ₹200 each, totalling ₹96 crore. Of the original 48 lakh warrants, 44,85,000 were already exercised and converted into equity shares. The remaining 3.15 lakh warrants have now lapsed, and the upfront subscription amount of ₹1,57,50,000 (25% of the lapsed warrants' value) stands forfeited and will be retained by the company. There is no change in the paid-up equity share capital as a result of this lapse.
The forfeiture is a small negative signal as the promoter did not fully subscribe to the allotted warrants, but the ₹1.57 crore forfeited amount is a minor gain for the company. The equity capital structure remains unchanged, so dilution impact on existing shareholders is negligible. Shareholders should note the promoter's partial non-compliance with the warrant exercise commitment.
