Bilcare Limited, the sole promoter of Caprihans India Limited, has converted 3,30,000 convertible warrants into an equal number of equity shares on 25 March 2026 under its 4th tranche for FY26. This takes Bilcare's holding in Caprihans from 58.70% to 59.56% of paid-up equity capital (94,78,325 shares). Across the four tranches this year, promoter stake has risen steadily from 55.99% to 59.56%. Another 20,20,000 warrants are still pending conversion, which if fully exercised would lift Bilcare's stake to 64.11% on a fully diluted basis. The allotment was done through preferential issue on warrant conversion, not through market purchases.
Sustained promoter accumulation signals strong insider confidence and further tightens the public float, which has dropped from 41.30% to 40.44%. No open offer is triggered since this is a preferential allotment route, but minority shareholders should note ongoing dilution of their proportionate holding.
