Bilcare Ltd, the sole promoter of Caprihans India Ltd, has converted 3,30,000 convertible warrants into equity shares under the third tranche of warrant exercises for FY25-26. This is the last of three tranches (20/03, 23/03, and 24/03/2026), together allotting 9,60,000 equity shares to the promoter. Bilcare's holding in Caprihans has risen from 55.99% (81,88,325 shares) before the first tranche to 58.70% (91,48,325 shares) after the third. If Bilcare fully converts the remaining 23,50,000 warrants, its stake will increase further to 64.11% on a diluted basis. The shares were allotted via preferential allotment, not through open market purchase.
The promoter is strengthening its grip on Caprihans India, moving further past the majority mark and toward 64% on full conversion. For shareholders, this signals promoter confidence and reduces the free float, but there is no immediate change to public shareholding other than minor dilution from warrant conversion.
