Cargotrans Maritime held its Extra-Ordinary General Meeting on 26 November 2025 via video conferencing. Four special business items were put before members: (1) increasing authorized share capital from ₹5 crore (50 lakh equity shares of ₹10 each) to ₹8 crore (80 lakh equity shares of ₹10 each), (2) preferential issue of up to 15,46,500 equity shares at ₹120 per share, (3) preferential issue of up to 16,50,000 convertible warrants at ₹120 per warrant (each convertible into one equity share of ₹10), and (4) appointment of Mr. Nilesh Gopal Rabadia as Independent Director. The combined e-voting result from remote voting (23–25 Nov) and e-voting at the EGM will be announced within two working days. No shareholder questions were raised during the meeting, which concluded at 4:08 PM.
The resolutions, if passed, would enable the company to raise significant fresh capital — up to roughly ₹38.3 crore from the equity shares (15.46 lakh × ₹120) plus up to ₹19.8 crore from warrants (16.5 lakh × ₹120), a potential total of around ₹58 crore. Shareholders should watch for the voting results within two working days and monitor dilution, use of proceeds, and identity of allottees in the preferential issues.
