Ceenik Exports (India) Limited has disclosed the voting results of a postal ballot conducted via remote e-voting from March 1 to March 30, 2025. A total of 3 resolutions were put to shareholders, and all three passed with the requisite majority. The first was an Ordinary Resolution to approve the limits of related party transactions, passed with 79,380 votes (99.98%) in favour and just 12 votes against. The second was a Special Resolution under Section 185 of the Companies Act, 2013, to allow the company to advance loans or give guarantees/security, passed unanimously with 79,392 votes (100%) in favour. The third was a Special Resolution under Section 180(1)(a) to authorise limits for secured borrowings, also passed unanimously with 26,90,289 votes (100%) in favour. Promoters (holding 26,10,897 shares, roughly 65% of equity) abstained from voting on resolutions 1 and 2 because they were deemed interested parties, and their votes were treated as invalid for those items. Public participation was limited, with only around 2% of total outstanding shares being polled for resolutions 1 and 2.
Shareholders have now cleared the way for the company to enter into related party transactions, extend loans or guarantees, and raise secured borrowings within the approved limits. The approvals give management greater operational and financial flexibility. With the promoter group already in control and resolutions passing with near-unanimous public support, no material governance red flags are apparent, though retail investors should note the very low voting turnout on the first two resolutions.
