Centrum Capital is reorganizing its group structure by transferring its entire stake in Centrum Broking Limited (CBL) to Centrum Financial Services Limited, another subsidiary. Centrum Capital will sell its 51.01% stake in CBL for Rs. 2,235.19 Lakhs, while its wholly-owned subsidiary Centrum Retail Services will sell its 48.99% stake for Rs. 2,146.25 Lakhs. CBL had a turnover of Rs. 8,663.19 Lakhs and net worth of Rs. 3,693.74 Lakhs in FY25, contributing 2.55% to consolidated revenue but 54.58% to consolidated net worth. After this transfer, CBL will no longer be a wholly-owned subsidiary of Centrum Capital. The transaction is between related parties (all group companies) and is being done at arm's length, with completion expected within two weeks.
This is an internal group restructuring with no change in ultimate control, so there is no material impact on shareholders. CBL's large contribution to net worth (54.58%) means the consolidated balance sheet structure will shift, but ownership remains within the Centrum group.
